Parties

Disclosing Party: Kingdom Kids Universe, a creative media brand owned and operated by Vanessa Aguillard, an individual residing in the State of California ("Disclosing Party" or "Company").

Receiving Party: The individual identified below by name and electronic signature ("Receiving Party").

WHEREAS, the Receiving Party desires to receive certain Confidential Information for the purpose of evaluating or participating in a potential collaboration related to Kingdom Kids Universe; NOW, THEREFORE, the Parties agree as follows:

Section 1. Definition of Confidential Information

"Confidential Information" means any and all non-public, proprietary, or sensitive information disclosed by the Disclosing Party, whether orally, in writing, electronically, visually, or by any other means, including but not limited to:

• All creative works, story concepts, characters, world-building, narrative frameworks, and lore associated with Kingdom Kids Universe;
• Scripts, manuscripts, books, screenplays, outlines, and other written works in any stage of development;
• Brand identity materials, logos, visual designs, trade dress, and stylistic elements;
• Business plans, financial models, revenue strategies, investor materials, pitch decks, partnership proposals, and internal operational documents;
• Any unpublished, unannounced, or proprietary ideas, strategies, or innovations shared in the context of this Agreement;
• The existence of this Agreement and the nature of any discussions between the Parties.

Confidential Information shall NOT include information that: (a) is or becomes publicly known through no breach of this Agreement; (b) was already known to the Receiving Party prior to disclosure; (c) is independently developed without use of Confidential Information; or (d) is required by law or court order to be disclosed.

Section 2. Obligations of the Receiving Party

The Receiving Party agrees that it shall:

• Hold all Confidential Information in strict confidence using at least the same degree of care it uses for its own confidential information, but in no event less than reasonable care;
• Not disclose, publish, distribute, or make available any Confidential Information to any third party without prior written consent;
• Not copy, reproduce, adapt, or create derivative works based on any Confidential Information;
• Not use any Confidential Information for any purpose other than the collaboration or evaluation contemplated by this Agreement;
• Promptly notify the Disclosing Party upon becoming aware of any actual or suspected unauthorized disclosure.

Section 3. Ownership and Intellectual Property

All Confidential Information, including all intellectual property rights therein, shall remain the sole and exclusive property of Vanessa Aguillard and Kingdom Kids Universe. Nothing in this Agreement grants any license, right, title, or interest. Unauthorized use or disclosure may cause irreparable harm; the Disclosing Party shall be entitled to seek equitable relief including injunction and specific performance.

Section 4. Non-Use and Non-Compete

During the term of this Agreement and at all times thereafter, the Receiving Party shall not, directly or indirectly, develop, create, or participate in any creative project substantially similar to or derived from Kingdom Kids Universe using Confidential Information obtained hereunder, nor solicit any employee, contractor, or partner of Kingdom Kids Universe.

Section 5. Term and Duration

This Agreement shall become effective as of the Effective Date and shall remain in full force and effect in perpetuity - without expiration - regardless of whether a formal business relationship continues, terminates, or never commences. All obligations shall be binding upon the Receiving Party's heirs, successors, and assigns.

Section 6. Return or Destruction of Confidential Information

Upon written request, or upon termination of the business relationship, the Receiving Party shall promptly return or permanently destroy all materials containing Confidential Information and certify such destruction in writing within ten (10) business days.

Section 7. Remedies

Any breach or threatened breach will cause the Disclosing Party immediate and irreparable harm. The Disclosing Party shall be entitled to seek: preliminary and permanent injunctive relief; specific performance; compensatory and consequential damages; and recovery of attorneys' fees and costs.

Section 8. No License or Partnership

This Agreement does not create any partnership, joint venture, agency, employment, or franchise between the Parties. Nothing herein obligates either Party to enter into any further agreement or business relationship.

Section 9. Governing Law

This Agreement shall be governed by the laws of the State of California. Any dispute shall be subject to the exclusive jurisdiction of the state and federal courts in the County of Orange, State of California.

Section 10. Electronic Signatures

Electronic or digital signatures shall be deemed valid and binding to the same extent as original signatures under the federal E-SIGN Act and California law. By typing your full legal name below and submitting this form, you are executing this Agreement electronically. This constitutes a legally binding electronic signature.
